Terms and Conditions

This agreement outlines the legally binding terms and conditions that govern your relationship with Cutflow and your use of our educational services. By enrolling in our courses or using our website, you enter into a binding legal agreement with us.

These Terms and Conditions work together with our Terms of Service and Privacy Policy to establish the complete framework of our relationship with you. Please review all documents carefully.

1. Formation of Agreement

A binding agreement is formed when you:

  • Complete enrollment in any of our courses
  • Submit payment for our services
  • Access course materials or participate in instructional sessions
  • Continue to use our services after modifications to these terms

By taking any of these actions, you confirm that you are at least 16 years of age and have the legal capacity to enter into this agreement. If you are enrolling on behalf of an organization, you represent that you have authority to bind that organization to these terms.

2. User Obligations and Conduct Requirements

Academic Integrity

You must maintain high standards of academic integrity throughout your enrollment:

  • Complete all assignments and projects using your own work and skills
  • Properly credit any external resources or references used in your projects
  • Refrain from sharing course materials with non-enrolled individuals
  • Participate honestly in all assessments and evaluations

Professional Conduct

When participating in our courses and interacting with others, you agree to:

  • Treat instructors, staff, and fellow students with respect and courtesy
  • Arrive punctually to scheduled sessions and be prepared to participate
  • Maintain a professional learning environment free from disruption
  • Follow classroom and facility policies established by instructors
  • Communicate concerns or issues through appropriate channels

Technical Requirements

You are responsible for:

  • Ensuring you meet prerequisite requirements for courses you enroll in
  • Obtaining necessary software licenses and hardware as specified in course requirements
  • Maintaining equipment in working condition for practical sessions
  • Backing up your project files and work regularly

Legal Compliance

You must comply with all applicable laws and regulations when using our services. This includes respecting intellectual property rights, data protection laws, and export control regulations that may apply to software and techniques taught in our courses.

3. Prohibited Activities

The following activities are strictly prohibited and may result in immediate termination of services:

Unauthorized Distribution

Recording, copying, or distributing course content, materials, or instruction without written permission from Cutflow.

Fraudulent Behavior

Providing false information, using stolen payment methods, or engaging in any form of fraud related to enrollment or services.

Harassment or Discrimination

Engaging in harassment, discrimination, or creating a hostile environment for any individual based on protected characteristics.

Security Violations

Attempting to breach security measures, access restricted systems, or interfere with our technology infrastructure.

Commercial Misuse

Using course materials or our brand for unauthorized commercial purposes or competing business activities.

4. Payment Terms and Conditions

Course Fees

All course fees are stated in Japanese Yen and must be paid according to the payment schedule provided during enrollment. Fees cover tuition, course materials, and facility access for the duration of the course as specified.

Payment Methods

We accept payment methods as indicated during the enrollment process. You are responsible for any bank fees or transaction charges associated with your payment method.

Late Payment

Failure to make scheduled payments may result in suspension of access to courses and materials. We reserve the right to pursue collection of unpaid fees through appropriate legal channels.

Refund Policy

Refund eligibility depends on timing and circumstances:

  • Full refund available if you withdraw more than 14 days before course start
  • 50% refund available if you withdraw 7-14 days before course start
  • No refund for withdrawals less than 7 days before course start or after course begins
  • No refunds for voluntary absences during the course period
  • Full refund provided if Cutflow cancels a course

5. Warranties and Disclaimers

Educational Service Disclaimer

Our courses provide professional instruction in video editing techniques and software. However, we make no warranties regarding:

  • Employment outcomes or career advancement following course completion
  • Specific skill levels or proficiency you will achieve
  • Income potential or business opportunities related to learned skills
  • Compatibility with future software versions or industry changes

Your results depend on numerous factors including effort, practice time, prior experience, and individual aptitude.

Third-Party Software

We teach industry-standard software applications but are independent from software manufacturers. We do not warrant the performance, availability, or suitability of third-party software. Students must obtain appropriate licenses and comply with software terms of use.

No Warranty of Services

Services are provided "as is" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our services will be uninterrupted, error-free, or meet your specific requirements.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Cutflow and its instructors, employees, and affiliates shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Costs of procurement of substitute services
  • Personal injury or property damage arising from use of our facilities
  • Damages resulting from unauthorized access to your information

Our total liability for any claims related to our services is limited to the amount you paid for the specific course or service giving rise to the claim, not to exceed the total fees paid in the twelve months preceding the claim.

Some jurisdictions do not allow certain limitations of liability, so these limitations may not fully apply to you.

7. Indemnification

You agree to indemnify, defend, and hold harmless Cutflow, its instructors, employees, contractors, and affiliates from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your violation of these Terms and Conditions
  • Your use of our services in a manner that infringes third-party rights
  • Your violation of applicable laws or regulations
  • Content you create or distribute using skills learned in our courses
  • Your negligent or willful misconduct

8. Dispute Resolution and Governing Law

Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of Japan, without regard to conflict of law principles.

Jurisdiction

Any legal action or proceeding arising from these terms shall be brought exclusively in the courts located in Tokyo, Japan. You consent to the personal jurisdiction of these courts.

Informal Resolution

Before initiating any formal legal proceedings, you agree to contact us to attempt informal resolution of disputes. Many concerns can be addressed through direct communication, which saves time and resources for both parties.

9. Force Majeure

We are not liable for any failure or delay in performance resulting from circumstances beyond our reasonable control, including:

  • Natural disasters, pandemics, or public health emergencies
  • Acts of government or regulatory authorities
  • Labor disputes or work stoppages
  • Utility failures or telecommunications disruptions
  • Fires, floods, earthquakes, or other catastrophic events

In such events, we will make reasonable efforts to minimize disruption and may offer alternative arrangements or rescheduling when possible.

10. Modifications to Terms

We reserve the right to modify these Terms and Conditions at any time. When we make material changes, we will:

  • Post the updated terms on our website with a new effective date
  • Notify enrolled students of significant changes via email when possible
  • Provide a reasonable period for you to review changes before they take effect

Continued use of our services after modifications become effective constitutes acceptance of the revised terms. If you disagree with changes, your remedy is to discontinue use of our services.

11. Severability and Waiver

Severability

If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

No Waiver

Our failure to enforce any provision of these terms or to exercise any right under them does not constitute a waiver of that provision or right. No waiver shall be effective unless made in writing and signed by an authorized representative of Cutflow.

12. Entire Agreement

These Terms and Conditions, together with our Terms of Service, Privacy Policy, Cookie Policy, and any course-specific agreements or enrollment documents, constitute the entire agreement between you and Cutflow regarding your use of our services. These terms supersede all prior agreements, understandings, or representations regarding the subject matter.
